TERMS AND CONDITIONS

1. ORDER to be TREATED AS A BINDING CONTRACT OF SALE

1.1 Any order placed by the buyer whether orally, in writing, or in electronic form, shall constitute a binding contract of sale once XADO Technology GMBH has accepted it.

1.2 Unless otherwise agreed in writing by XADO Technology GMBH, all products shall be supplied in accordance with these conditions, to the exclusion of any terms and conditions (if any) stipulated by the buyer and any representations, warranties or communications not expressly incorporated in these Conditions.

1.3 The buyer shall be solely responsible for ensuring the accuracy of the terms of any order entered though XADO Technology GMBH website.

1.4 XADO Technology GMBH reserves the right to amend ordered quantities without notice in order to comply with any legal restrictions, whether previously agreed with the buyer or not.

2. APPROPRIATE PRICE

2.1 Subject to this clause, the price payable by the buyer is that ruling on the date of order as shown on XADO Technology GMBH website. XADO Technology GMBH reserves the right to implement any increase equal to any new or increased tax duties, or other imposts or the wholesale schedule price and/or market variations imposed or occurring up to the date of delivery. XADO Technology GMBH also reserves the right to amend the price charged to the buyer in the case of manifest error. In such an event the price payable by the buyer shall be XADO Technology GMBH’s selling price at the date of order notwithstanding the published price on XADO Technology GMBH website.

2.2 The price shall include all duties, levies (postage is not included in price) or other imposts (including 20% VAT)

3.PAYMENT

3.1 XADO Technology GMBH accept the following forms of payment: major credit cards (Master or Visa), debit cards, PayPal, money transfers, personal or company checks, money orders.

3.2 Payment shall be due before delivery.

3.2 No payment shall be deemed to have been received until XADO Technology GMBH is in receipt of cleared funds. The buyer shall allow five (5) working days from the date of receipt for check payments before the amount paid can be considered cleared funds.

3.3 XADO Technology GMBH reserves the right to charge any reasonable amount to process card payments. Reasonable shall be defined as being linked to the costs incurred in processing the buyer's payment.

3.4 For personal or company checks, money orders, money transfers, please contact our office via phone or e-mail for grand total of your order, including shipping charges. If you are experiencing difficulties with placing your order online, please contact our office via phone or e-mail.

4. DELIVERY

4.1 XADO Technology GMBH will make every effort to effect delivery in accordance with the buyer’s requirements.

4.2 No delivery date is guaranteed.

4.3 All deliveries to be made within XADO Technology GMBH’s discretion.

4.4 XADO Technology GMBH cannot guarantee 100% availability of all products from stock.

4.5 Deliveries are usually made within three working days of order throughout the UK by Royal Mail. If your order is not stocked or unavailable for immediate dispatch, we will call you giving you a date when the goods will be available.

4.6 A signature may be required on receipt of buyers item(s). XADO Technology GMBH’s standard delivery option includes packaging, handling and Royal Mail 1st Class delivery.

4.7 It is Buyer’s obligation to enter the correct delivery address at the time of ordering. If Buyer enters the wrong address, XADO Technology GMBH are not obliged to re-send the order to the correct address at its expense. The delivery address cannot be changed once the order has been shipped.

4.8 In order to confirm that an order shipped via post has indeed been lost, XADO Technology GMBH must wait 15 working days (3 weeks) before claiming against Royal Mail. Most lost items are located within the postal system within this period of time. If buyer’s item is lost or undelivered, buyer should contact it’s local Delivery Office to see if they are holding the order, having already tried unsuccessfully to deliver it to buyer. To find your nearest UK Sorting Office call Royal Mail on 08457 740 740 or visit their website at www.royalmail.co.uk. If after 15 working days buyer has not received its order, please contact us with your order number, name and address. XADO Technology GMBH will then send you a P91 form. Buyer must complete the P91 Form and return it back to us within 10 days or XADO Technology GMBH will close the claim and in return we will not be able to issue a replacement order. Once XADO Technology GMBH has received and accepted the completed P91 Form XADO Technology GMBH will send your replacement order. These are Royal Mail’s new procedures which XADO Technology GMBH are forced to adhere with. If buyer require its items urgently it is advised that you re-order them through our website.

4.9 If item(s) are returned back to XADO Technology GMBH for whatever reason, XADO Technology GMBH will resend the items subject to a redelivery charge. We will be unable to refund actual delivery costs.

4.10 In case of goods deficiency at the distributor's stock in the UK, delivery can be effected from Berlin.

5. GOVERNING LAW

5.1 These conditions shall be construed in accordance with English law.

5.2 This website is the intellectual property of XADO Technology GMBH. Reproduction of any material is prohibited other than in accordance with the copyright notice.
